The Alberts Community Association Constitution

  1. NAME

    The name of the organisation shall be "The Alberts Community Association" (the Association).

  2. OBJECTS

    The objects of the Association shall be:-

    1. to improve conditions in that area known as "The Alberts".
    2. to act as a channel of communication between members and the London Borough of Richmond upon Thames.
  3. METHOD OF OPERATION

    The Association shall achieve its objectives by the following methods:-

    1. by generally assisting members to make known their problems and endeavouring wherever possible to alleviate the same.
    2. by holding meetings at which members may make known their views on matters of concern.
    3. by making representations to the London Borough of Richmond upon Thames and others.
    4. by helping representatives of the local authorities and others to consult members on all matters of concern to the area.
    5. by inviting guest speakers to address members on matters of interest or concern.
    6. by providing such facilities or community services as the need may from time to time arise.
  4. MEMBERSHIP

    Membership shall be open without subscription to those who live and those who work in "The Alberts". For the purposes of the Constitution "The Alberts" shall mean that part of the London Borough of Richmond Upon Thames comprising the postal addresses of Albany Passage, Albany Road, Albany Terrace, Albert Road, Audley Road, Beatrice Road, Connaught Road, Houblon Road, Hyde Road, Lome Road, Princes Road, Worple Way, York Road and (for the avoidance of doubt) "The Houblons" almshouses.

  5. THE COMMITTEE
    1. The Committee shall comprise:-
      1. the officers of the Association, who shall consist of the Chairman, the Vice-Chairman, the Secretary, the Treasurer and
      2. such other officers as the Association shall appoint, and
      3. such additional members as the Committee shall co-opt.
    2. All members of the Committee shall be members of the Association.
    3. Members of the Committee shall remain in office until the next Annual General Meeting. Any vacancy occuring by resignation or otherwise may be filled by means of the Committee co-opting further members.
    4. The Committee may from time to time appoint from among its members and/or from other members of the Association until the next Annual General Meeting such sub-committees as it may consider necessary and may delegate to them such of its responsibilities as it may determine. All sub-committees shall periodically report their business in accordance with the directions of the Committee.
    5. The Committee may from time to time appoint members of the Association to act until the nextAnnual General Meeting as "street representatives" in respect of individual streets in "The Alberts".
    6. The Committee shall have power to expel a member from the Association at its discretion provided that:-
      1. the member is given 14 days' written notice of the motion to expel him or her, and
      2. at least two thirds of those present at the Committee meeting at which the motion is proposed vote in its favour.
    7. No member shall during his or her membership of the Committee occupy or stand for election to the Council of the London Borough of Richmond upon Thames.
  6. GENERAL MEETINGS
    1. The Secretary shall call not less than four meetings of the Association in each calendar year.
    2. The Secretary shall give not less than seven days notice of all meetings of the Association and not less than fourteen days' notice of all Annual and Special General Meetings of the Association.
    3. The Secretary shall call a Special General Meeting of the Association on receiving a written request for such a meeting signed by not less than twenty members stating any resolutions proposed. The date for such meeting shall be at the discretion of the Secretary and shall be within 28 days of the receipt of such request, and the notice thereof shall state the resolutions proposed.
    4. The Chairman shall be responsible for the conduct of meetings and the interpretation of this Constitution, but any decisions of the Chairman may be reversed by a simple majority of those present and voting at any meeting of the Association.
    5. The Secretary shall call an Annual General Meeting once in each calendar year. At each such Annual General Meeting all officers and Committee members shall resign, but may offer themselves for re-election.
    6. The quorum at any meeting of the Association shall consist of not less than fifteen members inclusive of Committee members.
    7. Nominations for members to serve on the Committee must be submitted to the Secretary at least ten days before each Annual General Meeting, and each such nomination shall contain:-
      1. the name and address of the member making the nomination, and
      2. the nominee's signed consent to being nominated.
    8. Resolutions to amend this Constitution and/or to dissolve the Association shall only be proposed at a Special General Meeting and shall only be effective if:-
      1. the quorum at such a meeting exceeds 26 members, and
      2. the resolution is carried by at least three quarters of the members present.
  7. DISSOLUTION
    1. Members of the last Committee shall be responsible for the winding up of the assets and liabilities of the Association in the event of dissolution.
    2. Any assets remaining after the discharge of the Association's liabilties shall be given to a charity or charities nominated by the last Committee.
